By accessing or using DocuRegister's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

2. Description of Service

DocuRegister provides a privacy-preserving document funding registry service that allows financial institutions and funders to:

  • Register document funding status using cryptographic hashes
  • Check whether documents have been previously funded
  • Prevent double-funding of documents

Our service processes only cryptographic hashes of documents, never the actual document content, ensuring complete privacy of your sensitive business data.

3. Account Registration

To use our service, you must:

  • Register for an account with accurate and complete information
  • Maintain the security of your account credentials and API keys
  • Promptly notify us of any unauthorized access to your account
  • Be at least 18 years old or have legal authority to enter into this agreement

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree to use our service only for lawful purposes. You may NOT:

  • Use the service for any fraudulent, illegal, or unauthorized purpose
  • Attempt to circumvent rate limits or abuse the API
  • Interfere with or disrupt the service or servers
  • Reverse engineer or attempt to extract source code
  • Share your API keys with unauthorized parties
  • Use the service to harm or exploit others

5. API Usage and Rate Limits

Your use of our API is subject to:

  • Rate limits based on your subscription tier
  • Monthly quota limits for API calls
  • Fair use policies to ensure service availability for all users

Exceeding rate limits may result in temporary throttling or suspension of service. We may adjust rate limits with reasonable notice.

6. Service Availability

We strive to maintain high availability of our service. However:

  • We do not guarantee 100% uptime
  • Scheduled maintenance will be communicated in advance when possible
  • We reserve the right to modify or discontinue features with reasonable notice

7. Fees and Payment

Access to our service is subject to subscription fees as described on our pricing page:

  • Fees are billed according to your selected plan
  • All fees are non-refundable unless otherwise stated
  • We reserve the right to modify pricing with 30 days notice
  • Failure to pay may result in suspension of service

8. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We disclaim all warranties, express or implied
  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability is limited to the fees paid by you in the preceding 12 months
  • We do not guarantee the prevention of all fraud or double-funding

You acknowledge that no verification system can be 100% accurate and that you should implement additional safeguards appropriate to your business needs.

9. Indemnification

You agree to indemnify and hold harmless DocuRegister and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any third-party rights

10. Termination

Either party may terminate this agreement:

  • You may cancel your account at any time through your dashboard
  • We may suspend or terminate accounts that violate these Terms
  • Upon termination, your right to use the service immediately ceases
  • We will retain data as required by law or as specified in our Privacy Policy

11. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the service shall be resolved through binding arbitration or in the courts of competent jurisdiction.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the service. Continued use after changes constitutes acceptance of the modified Terms.
